Mixoo Membership Subscription Agreement

This Membership Subscription Agreement regulates the use of subscription renewal services, membership benefits, paid features, credits, premium tools, and related paid services between Mixoo and its members. Members must read, accept, and comply with this Agreement before using the relevant paid services.

By purchasing, activating, subscribing to, or continuing to use any paid service in Mixoo, you agree to this Agreement, the Mixoo Terms of Service, the Mixoo Privacy Policy, and the payment or subscription rules of the platform through which you purchased the service.

1. Acceptance and Modification of Service Terms

1.1 This Agreement aims to regulate the usage of membership, subscription renewal, premium feature, credit, and other paid services between members and Mixoo. Members must accept and comply with this Agreement.
1.2 Mixoo may update this Agreement from time to time due to business needs, product updates, platform policy changes, legal requirements, or payment rule adjustments. Updated terms will be made available in the App or on our official policy page.
1.3 If you continue to use the paid services after this Agreement is updated, you will be deemed to have accepted the updated Agreement, except where applicable law requires otherwise.

2. Service Description

2.1 Depending on the product you purchase, Mixoo membership or paid services may include access to premium AI tools, increased generation limits, credits, faster processing, watermark removal, advanced styles, AI photo or video creation features, or other benefits displayed in the App at the time of purchase.
2.2 For automatic renewal subscriptions, the applicable app store or payment provider may automatically deduct the subscription fee for the next billing cycle from your payment account before or when the current validity period expires.
2.3 Members must ensure that their payment account, subscription account, or app store account is valid and has sufficient balance or an available payment method. Members shall bear responsibility for renewal failure caused by insufficient balance, expired payment methods, account restrictions, or platform payment failures.
2.4 Members using this service shall be deemed to have agreed to the relevant service terms, subscription terms, payment terms, platform rules, and product descriptions publicly displayed by Mixoo or the applicable app store at the time of purchase.
2.5 This service is restricted to use within Mixoo and may not be transferred, resold, rented, lent, sublicensed, exchanged for cash, or used for illegal or unauthorized purposes.

3. Rights and Obligations of Both Parties

3.1 Mixoo provides methods for users to view subscription or purchase information through the App, the App Store, or other applicable iOS platform account settings. Invoice, tax, and payment documents may be handled by the corresponding platform or payment provider according to its own rules.
3.2 Mixoo, Apple, or another applicable payment provider may deduct fees and extend the membership validity or paid service access within the agreed billing cycle.
3.3 In case of billing errors, both parties shall cooperate to resolve the issue. Responsibility shall be determined based on the applicable platform rules, payment provider records, and each party's own fault.
3.4 Mixoo may change membership benefits, paid feature content, credit rules, renewal rules, or service availability based on business operations, technical upgrades, product changes, legal requirements, or platform policy changes. Material changes will be disclosed through appropriate pages or in-app notices where required.
3.5 Members who do not cancel an automatic renewal subscription before the renewal date will be deemed to agree that the applicable platform or payment provider may attempt periodic deductions according to the subscription rules.
3.6 If there is a price adjustment for the service, the latest price displayed in the App or applicable app store purchase page shall prevail. Renewal pricing and notification rules may vary according to Apple or other applicable platform policies.
3.7 Mixoo has the right to decide whether to charge fees, adjust paid service content, adjust credit consumption rules, or adjust the automatic renewal cycle, and will disclose relevant information on applicable pages where required.

4. Validity and Termination of Agreement

4.1 This Agreement becomes effective upon the member's acceptance, purchase, activation, subscription, or use of the relevant paid service and remains in effect until the member terminates the service, cancels the subscription, or stops using the relevant paid service.
4.2 Members may choose to terminate or cancel automatic renewal at any time through the applicable platform account settings, such as Apple subscription management. After cancellation, Mixoo will stop providing renewal service after the current paid period ends, unless platform rules provide otherwise.
4.3 Uninstalling the App, deleting local app data, or submitting a data deletion request does not automatically cancel an active subscription. You must cancel the subscription through the platform where the purchase was made.
4.4 Membership fees and paid services are generally provided on a pay-first, service-later basis. Once the purchase is successful, it is deemed that you have obtained access to the corresponding online product or service. Refunds, cancellations, and exchanges are subject to applicable law and the refund rules of Apple or the relevant payment provider.
4.5 Any automatic renewal instructions previously authorized by the member remain valid until cancelled according to the applicable platform rules. Fees charged before cancellation or before service termination will not be refunded except where required by applicable law or platform rules.

5. Dispute Resolution and Applicable Law

5.1 Both parties should resolve disputes through friendly negotiation. If unable to resolve, either party may submit the matter to arbitration or another dispute resolution procedure permitted by the applicable Terms of Service and applicable law. This Agreement is governed by the laws of the United States, unless mandatory law provides otherwise.

Mixoo において有料サービスを購入、アクティベート、サブスクライブ、または継続して使用することにより、お客様は本契約、Mixoo 利用規約、Mixoo プライバシーポリシー、およびサービスを購入したプラットフォームの支払またはサブスクリプション規則に同意したものとみなされます。

1. サービス条件の承諾および変更

1.1 本契約は、メンバーと Mixoo との間におけるメンバーシップ、サブスクリプション更新、プレミアム機能、クレジット、その他の有料サービスの利用を規定することを目的としています。メンバーは本契約を承諾し、遵守しなければなりません。
1.2 Mixoo は、事業上の必要、製品更新、プラットフォームポリシーの変更、法的要件、または支払規則の調整により、本契約を随時更新する場合があります。更新後の条件は、本アプリまたは当社公式ポリシーページで確認できるようにします。
1.3 本契約の更新後も有料サービスの利用を継続する場合、適用法により別段求められる場合を除き、お客様は更新後の契約を承諾したものとみなされます。

2. サービス説明

2.1 購入する製品に応じて、Mixoo メンバーシップまたは有料サービスには、プレミアム AI ツール、生成上限の増加、クレジット、より高速な処理、ウォーターマーク削除、高度なスタイル、AI 写真または動画作成機能、または購入時に本アプリ内で表示されるその他の特典へのアクセスが含まれる場合があります。
2.2 自動更新サブスクリプションの場合、該当するアプリストアまたは支払提供者は、現在の有効期間が満了する前または満了時に、次の請求サイクルのサブスクリプション料金をお客様の支払アカウントから自動的に差し引く場合があります。
2.3 メンバーは、支払アカウント、サブスクリプションアカウント、またはアプリストアアカウントが有効であり、十分な残高または利用可能な支払方法を有していることを確保しなければなりません。残高不足、期限切れの支払方法、アカウント制限、またはプラットフォーム支払失敗により更新が失敗した場合、メンバーはその責任を負います。
2.4 本サービスを利用するメンバーは、購入時に Mixoo または該当するアプリストアによって公に表示される関連サービス条件、サブスクリプション条件、支払条件、プラットフォーム規則、および製品説明に同意したものとみなされます。
2.5 本サービスは Mixoo 内での利用に限定され、譲渡、再販売、貸与、貸付、サブライセンス、現金への交換、または違法もしくは無許可の目的で使用することはできません。

3. 両当事者の権利および義務

3.1 Mixoo は、ユーザーが本アプリ、App Store、またはその他の該当する iOS プラットフォームアカウント設定を通じて、サブスクリプションまたは購入情報を確認する方法を提供します。請求書、税務書類、支払書類は、該当するプラットフォームまたは支払提供者がその独自の規則に従って処理する場合があります。
3.2 Mixoo、Apple、またはその他の該当する支払提供者は、合意された請求サイクル内で料金を差し引き、メンバーシップの有効期間または有料サービスへのアクセスを延長する場合があります。
3.3 請求エラーが発生した場合、両当事者は問題解決に協力するものとします。責任は、該当するプラットフォーム規則、支払提供者の記録、および各当事者自身の過失に基づいて判断されます。
3.4 Mixoo は、事業運営、技術アップグレード、製品変更、法的要件、またはプラットフォームポリシー変更に基づき、メンバーシップ特典、有料機能内容、クレジット規則、更新規則、またはサービス提供状況を変更する場合があります。重要な変更は、必要に応じて適切なページまたはアプリ内通知を通じて開示されます。
3.5 更新日前に自動更新サブスクリプションをキャンセルしないメンバーは、該当するプラットフォームまたは支払提供者がサブスクリプション規則に従って定期的な引き落としを試みることに同意したものとみなされます。
3.6 サービス価格の調整がある場合、本アプリまたは該当するアプリストア購入ページに表示される最新価格が優先します。更新価格および通知規則は、Apple またはその他の該当するプラットフォームポリシーにより異なる場合があります。
3.7 Mixoo は、料金を請求するかどうか、有料サービス内容、クレジット消費規則、または自動更新サイクルを調整するかどうかを決定する権利を有し、必要に応じて該当ページで関連情報を開示します。

4. 契約の有効性および終了

4.1 本契約は、メンバーが関連する有料サービスを承諾、購入、アクティベート、サブスクライブ、または使用した時点で効力を生じ、メンバーがサービスを終了し、サブスクリプションをキャンセルし、または関連有料サービスの使用を停止するまで有効に存続します。
4.2 メンバーは、Apple サブスクリプション管理など、該当するプラットフォームアカウント設定を通じて、いつでも自動更新を終了またはキャンセルすることができます。キャンセル後、プラットフォーム規則で別段定められる場合を除き、Mixoo は現在の有料期間終了後に更新サービスの提供を停止します。
4.3 本アプリのアンインストール、ローカルアプリデータの削除、またはデータ削除リクエストの提出は、有効なサブスクリプションを自動的にキャンセルするものではありません。購入が行われたプラットフォームを通じてサブスクリプションをキャンセルする必要があります。
4.4 メンバーシップ料金および有料サービスは、一般に先払い・後提供の方式で提供されます。購入が成功した時点で、お客様は対応するオンライン製品またはサービスへのアクセスを取得したものとみなされます。返金、キャンセル、交換は、適用法ならびに Apple または関連する支払提供者の返金規則に従います。
4.5 メンバーが以前に承認した自動更新指示は、該当するプラットフォーム規則に従ってキャンセルされるまで有効です。キャンセル前またはサービス終了前に請求された料金は、適用法またはプラットフォーム規則で求められる場合を除き、返金されません。

5. 紛争解決および準拠法

5.1 両当事者は、紛争を友好的な協議により解決するよう努めるものとします。解決できない場合、いずれの当事者も、該当する利用規約および適用法で認められる仲裁またはその他の紛争解決手続に付すことができます。本契約は、強行法規により別段定められる場合を除き、米国法に準拠します。
